Terms of use.

These terms apply to jmemaxwell.com, including the business valuation calculator, its reports, its API, and its AI access (the MCP connector and access keys). By using any of them you agree to these terms. If you do not agree, do not use the tools.

The calculator produces planning-grade estimates for discussion. Its output is not a valuation opinion, not an appraisal, and not financial, investment, legal, tax, or accounting advice. It is not prepared by a Chartered Business Valuator and does not follow the standards that govern formal valuation reports.

Using the calculator does not create any advisor, fiduciary, or professional relationship between you and me. Before you act on a number, in any transaction, dispute, filing, or negotiation, get advice from a qualified professional who has examined the actual business. Do not rely on the calculator as your only basis for a decision.

The estimate is only as good as the numbers you provide. Assumptions you leave blank fall back to published defaults; the report discloses which defaults were used and where they came from. Sources, rates, and model logic change over time, and a result generated today may differ from one generated later with the same inputs.

You may use and share the reports the calculator generates for you. You may not present a report as a professional valuation opinion, remove its disclaimers, or hold it out as having been prepared or endorsed by me for your transaction.

Connecting an AI assistant through the MCP connector, or calling the API with an access key, gives that tool the same calculator under the same terms. You are responsible for keeping your access key private, for the requests made with it, and for how your AI presents the results. Usage is rate limited and I may adjust limits, suspend keys, or revoke access at any time to keep the service working.

Do not attempt to break, overload, scrape, or reverse engineer the service, probe its security, use it to spam or mislead people, or submit information you have no right to submit. I can suspend or terminate access for abuse.

The site and the calculator are provided as is and as available, without warranties of any kind, express or implied, including accuracy, fitness for a particular purpose, and uninterrupted availability. The tool may contain errors and may change or be withdrawn without notice.

To the maximum extent permitted by law, I am not liable for any loss or damage arising from your use of, or reliance on, the site, the calculator, its reports, or its API, including indirect, incidental, special, or consequential damages and lost profits. If liability is found despite the above, it is limited in total to CAD $100. The tool is free; this allocation of risk is what makes that possible.

Site content is mine; do not republish it as yours. These terms are governed by the laws of Ontario and Canada, and any dispute belongs in Ontario courts. I may update these terms by posting a new version here with a new effective date; continued use means acceptance. How I handle your information is covered in the privacy policy.
